AI Negotiator Feature Overview

 

Introduction

Pramata's AI Negotiator is a revolutionary tool designed to accelerate your legal document workflow by up to 50%. Integrated seamlessly with Microsoft Word, this add-in leverages Pramata's AI capabilities to streamline contract drafting, review, and negotiation processes directly within your familiar Word environment.

 

Getting Started

Initial Setup

  1. Install the AI Negotiator Add-in from the Integrations Hub in your Pramata Platform (see Pramata AI Negotiator Installation Guide if needed).
  2. Open the contract draft in Microsoft Word Desktop or the Microsoft Word Online web version.
  3. Click the Pramata AI Assistant button from the ribbon to load the AI Negotiator.
  4. Click the Login button and authenticate with your Pramata Platform credentials.
  5. The system will automatically read your document and detect the Party Perspective.
  6. Recommended: Increase the width of the AI Negotiator panel by dragging its left border for an optimized experience.

Welcome Screen

The welcome screen provides quick access to your built-in AI Agents and can be launched directly with a single click, allowing you to start working immediately. AI Agents are displayed at the bottom of the screen, where additional Agents, including custom ones, may not be immediately visible but can be accessed via the three dots menu.

Analysis Settings

Access Analysis Settings from the gear icon in the top panel to configure:

  • Playbook: Select the playbook you want to use with the current document (required for Playbook Analysis).
  • Party Perspective: The system automatically detects which party you represent. If incorrect, select from the detected parties list or type your own.
  • Contract Request Number: Link the document to a Pramata Contract Request to enable version control, direct saving, and seamless CLM integration.
  • Draft Template: Shows all templates loaded into the Pramata Templates Module. Select a template when using Diff Compare to compare your contract against a template.
  • Settled Clauses: List of clauses marked as finalized and excluded from further analysis. Settled clauses retain their status even in newer contract versions.
  • Repository Account & Mode: Select which account in Pramata Repository you want AI to reference for historical context. For optimal performance:
    • Use Full Text Mode if the total number of pages across selected contracts is fewer than 75 pages.
    • Use Key Terms Mode if the total number of pages across selected contracts is more than 75 pages.

Integrated Document Version Control

The integrated version control feature allows you to save contract revisions directly to your CLM system from within MS Word, eliminating the need to save files locally, switch to the CLM platform, and manually re-upload documents. Simply link your Word document to a Contract Request and manage all version control seamlessly without leaving Word.

Prerequisites

  • Contract Request Link: Document must be linked to a Contract Request Number in Analysis Settings.
  • Pramata Platform Access: Active Pramata platform account with appropriate permissions.

Document Saving Process

  1. Link Document: Ensure your Contract Request Number is set in Analysis Settings
  2. Make Revisions: Edit your contract using standard Word tools and features
  3. Initiate Save: Click the integrated Save option when ready to update the Contract Request
  4. Save Options: Choose the appropriate save option for your document:
    • Version Existing Document: Add a new version to the current Contract Request's document history
    • Start New Document: Create a new document record within the Contract Request
  5. Document Changes: Add descriptions of your revisions to maintain complete audit trails
  6. Confirm Save: Document automatically appears in the linked Contract Request with full version history

Chat with Your Document

The integrated chatbot allows you to ask contextual questions about the draft, generate insights, and even incorporate related documents via the attachment icon (e.g., prior agreements, or negotiation guidelines). Although the chatbot currently does not process tracked changes or redlines in the document, this enhancement is planned for a future release.

Additionally, you can use AI Artifacts in your chatbot such as:

  • AITable: An AI generated table for structured analysis. For example: Create an AITable summarizing the key clauses.
  • AIDoc: A formatted document output for summaries or drafts. For example: Generate an AIDoc highlighting key obligations in a contract.

These artifacts enhance your ability to capture and reuse insights across agreements.

  • Word document (.docx) for collaborative editing
  • PDF for final distribution and review

Use case: After performing a Diff Compare analysis, instantly export the output as a PDF and forward it to your Finance team for review.

Diff Compare

Diff Compare goes beyond tracking changes to help you respond to them. Compare incoming agreements against your template to identify all modifications, then use natural language chat to redline the document and add comments explaining your position. Most agreements can be evaluated and redlined in about 5 minutes, transforming contract review from a time-consuming analysis task into a rapid negotiation response.

The system integrates seamlessly with the Pramata Repository, allowing direct comparison of your current MS Word document with templates, previous versions, or signed contracts without downloading or re-uploading files. Attachments are only needed for external files not stored in the system.

How to Use Diff Compare

  1. (Optional) Initial Setup: Configure your analysis preferences to enhance comparison accuracy and enable advanced features:
    • Analysis Settings Configuration:
      • Playbook Selection: Select a playbook to enable smart material change assessment based on your organization's negotiation standards.
      • Contract Request Link: Link a Contract Request Number to access version history and enhanced document selection options.
    • Upload External Documents: Click the attachment icon at the bottom right of the AI Negotiator panel to upload comparison documents not stored in the Pramata Repository (e.g., external templates or agreements)
  2. Access Diff Compare Agent: Click the Diff Compare Agent button to open the Compare Documents panel.
  3. Configure Document Selection: Refer to the Document Selection Options table above to understand the available fields based on your setup. Configure your document selection according to whether you have a Contract Request Number saved in Analysis Settings.
  4. Run Comparison: Once your document selections are complete, click the Compare Documents button. The system will process the comparison using enhanced AI reasoning capabilities.
    AI reasoning is available within the Thought Process to understand how the AI identified the changes.
  5. Review Diff Compare Results: Once the comparison processing is complete, the Diff Compare Results button becomes available. Click this button to view a comprehensive analysis table that displays:
    • All detected changes between document versions.
    • Business impact assessment for each modification.
    • Risk level indicators and evaluation for every change.
    • Material change classification showing whether each clause modification is considered material or non-material based on your playbook standards.
    • Stakeholder recommendations identifying which team members or departments should review and approve each type of change.
  6. Apply Auto-Redline (Optional): When the AI identifies high-risk issues requiring negotiation attention, it will proactively ask if you want to auto-redline the draft agreement with specific recommendations and replacement language for each RED risk.
    To proceed:
    1. Respond to the AI prompt by typing "Yes" or "No" in the chat interface.
    2. If Yes: The system generates redlined paragraphs for each high-risk clause with suggested replacement language.
    3. Review recommendations: The AI presents a summary of recommended redlines with specific actions for each clause.
      At this stage, you can either accept the recommendations as-is or provide additional instructions to customize the approach
    4. Confirm or modify: Respond with your preference—accept the recommendations, request changes, or specify your own instructions.
    5. Navigate: Click on any redlined paragraph to jump directly to that section in your Word document.
    6. Apply Changes: Review the AI's recommendations and apply auto-redline as needed to strengthen your negotiation position.

Diff Compare Results

After running Diff Compare, the system provides:

  • Automated change detection with clause-by-clause analysis
  • "C" label against clauses where changes are found
  • Structured comparison table showing differences clearly

Checklist

Checklists are a lightweight alternative to Playbooks, best suited for reviewing agreements that have a straightforward, consistent set of criteria. Checklists let users get started immediately with minimal setup.

Within AI Negotiator, the dedicated Checklist Analysis experience allows users to triage a contract against all checklist items, prioritize review by High / Medium / Low importance groupings, and redline the document — all without leaving Word.

Configuring a Custom Checklist

Checklists are configured in AI Design Studio under the Playbooks and Checklists sub-module and can be created for any contract type — build one from scratch or start from Pramata's out-of-the-box Checklists with pre-configured questions, ready to use as-is or fully customize. See Checklists for full configuration steps.

How to Run a Checklist

  1. Open your contract draft in Microsoft Word and load the AI Negotiator add-in.
  2. On the home screen, click the Checklist Analysis Agent button at the top of the Featured Agents list.
  3. In the pop-up, select the checklist to run — either the out-of-the-box NDA checklist or a custom one configured in AI Design Studio.
  4. Click Run Analysis.
  5. Review results organized into High, Medium, Low Importance Issues, and Passed Items.

Triaging Results

For any failed checklist item, users can manually override the result to Pass. This is useful when a clause technically fails the checklist criterion but is acceptable in context — for example, on a high-value deal where you choose not to push back on a particular term.

Overriding an item moves it into the Passed section. The pass count updates in the results summary. This triage step lets users focus redlining effort only on the issues they intend to act on.

Redlining from Checklist Results

After reviewing results, users can redline directly from the checklist without leaving the panel:

  • Redline All Issues — redlines every failed item across all importance levels
  • Redline High Only — redlines only the High importance failures
  • Redline Medium Only — redlines only the Medium importance failures
  • Redline Low Only — redlines only the Low importance failures

The redlining experience is identical to Playbook Analysis and Diff Compare — AI-suggested redlines are presented for review, and users can modify, apply to the document, or apply as a comment before accepting.

Exporting Results

Checklist results can be exported at any point during the review using the export button in the results panel. Exports are available in Word (.docx) and PDF formats, consistent with other AI Negotiator export features.

Playbook Analysis

To perform Playbook Analysis, you must first select a Playbook from Analysis Settings. Select a Clause for analysis and then select the Playbook Analysis AI Agent

  1. Ensure a playbook is selected and saved in Analysis Settings.
  2. From the top panel, select the clause(s) you want AI to analyze (multiple selections allowed)
  3. Click Playbook Analysis, wait approximately 1 minute for results to appear.
  4. Review results across three key sections:
    • Thought Process: Explains how AI arrived at its risk rating.
    • Term Analysis: Breaks down term-specific issues
    • Clause Assessment: Color-coded compliance indicator with actionable guidance.

Compliance Indicators

The system uses a color-coded scheme to communicate compliance status:

  • Green: Clause aligns with Preferred position
  • Yellow: Clause matches Fallback position OR with previously negotiated terms for that ​Account (requires Account to be selected in ​Analysis Settings)
  • Red: Clause is Non-Compliant with Playbook standards

Available Actions

Settle Button: Mark a clause as finalized. The system adds it to the Settled list and excludes it from further analysis (highlighted in blue in the top panel)

Auto Redline Feature Tabs

When you run Playbook Analysis, you can take action on flagged clauses using the Auto Redline button, which opens a dual-tab interface that helps streamline clause resolution based on either AI analysis or your internal playbook guidance.

All Guidelines button: Access your complete playbook directly from within MS Word for comprehensive reference.

AI Recommendations Tab

This tab provides AI-powered suggestions for negotiating and redrafting your selected clause.

  • Suggested Negotiation: AI explains how to negotiate the clause and what changes are recommended.
  • Draft Paragraph(s): All relevant paragraphs from your contract associated with the clause are listed for review.

Available Actions

  • Redline Clauses button: When you click this button, the AI applies its suggested negotiation strategy to the Draft Paragraphs with intelligent redlining that:
    • Groups consecutive word changes into single blocks for cleaner markup
    • Replaces entire sentences when more than 30% of words change
    • Uses smart thresholds to create optimal, readable redlines
  • Review and Refine Options: After the AI generates recommendations, you can:
    • Start Over - Begin the redrafting process fresh.
    • Go to Paragraph - Jump directly to a specific paragraph in the document.
    • Edit Recommended Language - Customize AI suggestions before applying.
    • Hide/Show Preview of Differences - Toggle between seeing changes and clean text.
    • Apply Redline to Document - Insert the changes with track changes enabled.
    • Comment - Apply AI Comment to Explain Redline to Counterparty

Playbook Tab

This tab connects you directly to your organization's established negotiation positions and standard language, while also displaying the draft paragraphs related to your selected clause.

Draft Paragraph(s): Similar to the AI Recommendations tab, you'll see all document paragraphs that relate to your selected clause, providing context for applying your organization's standard positions.

Standard/Preferred/Fallback Positions: For any selected clause, you can access and utilize your organization's negotiation positions:

  • Standard Terms: Copy recommended starting language directly into your working document with one click.
  • Preferred Positions: Apply optimal terms using the Redline link to show changes in your document. If a draft clause is in edit mode, then clicking this button replaces the full text of it with the preferred position content the user clicked on.
  • Fallback Positions: Apply acceptable alternative terms using the Redline link when preferred positions cannot be achieved. If a draft clause is in edit mode, then clicking this button replaces the full text of it with the fallback position content the user clicked on.

All position types are accessible directly from MS Word, providing immediate access to your organization's strategic negotiation framework.
